Loss of investment

Investing in shares in a private limited company, such as ours, always carries significant risk. The share price may fall as well as increase and you could lose all of the money that you have invested. No Liquidity

There is no ready market through which you are able to sell your shares. It is therefore highly likely that you will not be able to sell your shares unless the Company becomes listed on a stock exchange or is bought out by another company. In the case of a buy out, there is still no guarantee that you will be able to sell your shares. Neither of these options is likely to occur in the next few years, so by investing you are making a long term commitment to the Company.

Dividends may not be paid

The Company has no obligation to make dividends payments against your shares. Such payments can be paid out at the discretion of the directors, when the Company has distributable profits. However, even where the Company has distributable profits it may decide to reinvest some or all of those profits back into the business instead of paying a dividend against shares.

Dilution

Any shareholding that you have in the Company will be diluted in the event the Company takes in any further investment in the future. This means that the overall percentage of the Company that you own will decrease. 

The Company could also issue different types of shares or bonds which are entitled to financial benefits ahead of any payments that might be made on your shares.

Liability

The Company excludes all liability to you in respect of your investment to the fullest extent permitted by law.
